Service Modifications: We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Payments & Pricing

Payment Terms

All services require payment as agreed upon in the project proposal. Standard payment terms include:

• 50% advance payment before project commencement
• 50% upon project completion and before delivery
• Additional costs for scope changes must be approved in writing

Pricing Structure

Our pricing is based on project complexity, timeline, and specific requirements. We offer:

• Fixed-price projects: Agreed upon before project start
• Hourly rates: For ongoing maintenance and support
• Retainer agreements: For long-term partnerships

Refund Policy

Refunds are handled on a case-by-case basis:

• Advance payments are non-refundable once work has commenced
• Partial refunds may be considered for incomplete work
• No refunds for delivered and accepted work

4. Intellectual Property

Client Ownership

Upon full payment, clients receive full ownership of:

• Custom developed code and applications
• Design elements created specifically for the project
• Project documentation and deliverables

CodevixLab Rights

We retain rights to:

• Proprietary tools, frameworks, and libraries
• Reusable code components not specific to client projects
• Portfolio rights to display completed work (unless otherwise agreed)

Third-Party Components

Projects may include third-party components subject to their respective licenses. Clients are responsible for complying with these licenses.

5. Confidentiality

We take client confidentiality seriously and agree to:

• Protect all client proprietary information
• Not disclose client business information to third parties
• Implement reasonable security measures to protect data
• Return or destroy confidential information upon request

Exceptions: Confidentiality obligations do not apply to information that is publicly available or required to be disclosed by law.

6. Warranties & Liabilities

Service Warranty

We warrant that services will be performed in a professional manner consistent with industry standards. Specific warranties include:

• 30-day bug fix guarantee for delivered projects
• Compliance with specified requirements
• Professional code quality and documentation

Limitation of Liability

CodevixLab's total liability shall not exceed the total amount paid for the specific services provided. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Issues arising from client-provided materials or instructions
• Third-party service failures

7. Termination

Either party may terminate services with written notice under the following conditions:

• For Cause: Material breach of these terms
• Convenience: With 30 days written notice
• Immediate: For illegal activities or violation of laws

Effects of Termination: Upon termination, clients must pay for all services rendered up to the termination date. We will deliver all completed work and materials.

8. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

Dispute Resolution: Parties agree to attempt resolution through good-faith negotiations before pursuing legal action.

9. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

Notification: We will make reasonable efforts to notify users of material changes to these terms.
